| "Service" | Any advisory, technology, energy, logistics, or related service provided by Hedron Holdings |
| "Intellectual Property" | All patents, trademarks, copyrights, design rights, database rights, trade secrets, know-how, and all other IP rights |
| "Confidential Information" | Non-public information disclosed in connection with a Hedron Holdings engagement, as further defined in the relevant engagement agreement |
Access & Eligibility
2.1 The Platform is intended for business professionals, institutional investors, corporate entities, and sophisticated parties. Hedron Holdings does not target consumers or retail users.
2.2 By accessing the Platform, you represent and warrant that:
- You have legal capacity to enter into binding commitments
- You are accessing on behalf of a legitimate business or institutional entity
- Your access and use comply with all applicable laws in your jurisdiction
- You are not subject to any applicable sanctions regime
2.3 Hedron Holdings reserves the right to restrict, suspend, or terminate access at any time and without prior notice, for any reason including suspected breach of these Terms.
2.4 Where authenticated access is required, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@hedronholdings.com upon discovering any unauthorised access.
Intellectual Property
3.1 Ownership All Content on the Platform — including analyses, reports, databases, frameworks, branding, design elements, software, and publications — is the exclusive intellectual property of Hedron Holdings or its licensors. All rights are reserved.
3.2 Permitted Use Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and view Content for their own internal, non-commercial reference purposes only.
3.3 Prohibited Acts Without prior written consent, Users must not:
- Copy, reproduce, republish, or distribute any Content
- Adapt, modify, or create derivative works from Content
- Use Content for commercial purposes or client communications
- Scrape, crawl, or use automated extraction systems
- Remove, alter, or obscure any copyright or proprietary notices
- Sub-licence, assign, or transfer any rights granted herein
3.4 Trademarks The Hedron Holdings name, logo, and all associated marks are trademarks of Hedron Holdings. Nothing in these Terms grants any right to use these marks without prior written authorisation.
Disclaimer of Warranties
Hedron Holdings does not warrant that the Platform will be available at all times, free from errors or security vulnerabilities, or that Content will be accurate and current at all times.
NOT PROFESSIONAL ADVICE: Nothing on the Platform constitutes legal, financial, investment, tax, regulatory, or professional advice. Content is for general informational purposes only. Always obtain independent professional advice before making any decision based on Platform Content.
Limitation of Liability
Where liability cannot be excluded, Hedron Holdings' aggregate liability to any User shall not exceed BDT 10,000 or the amount paid by the User in the preceding three months, whichever is lower.
Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded by applicable Bangladesh law.
Acceptable Use
6.1 Users must not use the Platform for any purpose that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
6.2 Prohibited conduct includes:
- Attempting unauthorised access to any system or database
- Introducing viruses, malware, or harmful code
- Conducting denial-of-service or related attacks
- Misrepresenting identity or organisational affiliation
- Transmitting unsolicited commercial communications
- Using automated tools to scrape or extract data
- Circumventing any security or access control measures
6.3 Hedron Holdings reserves the right to report violations to relevant authorities and take all available legal action against violators.
Third-Party Links
7.1 The Platform may contain links to third-party websites and resources. These links are provided for convenience only. Hedron Holdings does not endorse, control, or accept responsibility for third-party content, privacy practices, or availability.
7.2 Users access third-party sites entirely at their own risk. Hedron Holdings is not liable for any damage or loss arising from use of third-party resources.
Confidentiality of Content
8.1 Certain Platform sections accessible to Clients or registered partners contain non-public, confidential information. Access is governed by the relevant engagement agreement and the Hedron Holdings Non-Disclosure Agreement.
8.2 Users who access restricted content must not disclose, share, or reproduce it without express written authorisation from Hedron Holdings, regardless of whether a specific confidentiality agreement has been executed.
8.3 Breach of this clause may result in immediate termination of access and legal action for damages, injunctive relief, or both.
Indemnification
9.1 You agree to indemnify, defend, and hold harmless Hedron Holdings and its officers, directors, employees, consultants, and affiliates from and against any claims, liabilities, damages, judgments, losses, costs (including legal fees), and expenses arising from:
- Your use of the Platform in violation of these Terms
- Your breach of any representation or warranty herein
- Any content you submit or transmit through the Platform
- Your infringement of any third-party right
- Any regulatory or legal action arising from your conduct
Governing Law & Disputes
10.1 Governing Law These Terms are governed by the laws of the People's Republic of Bangladesh, including the Contract Act 1872, the Specific Relief Act 1877, and the ICT Act 2006.
10.2 Amicable Resolution Disputes should first be raised by written notice and resolved through good-faith negotiation within 30 days.
10.3 Arbitration Unresolved disputes shall be settled by binding arbitration under the rules of the Bangladesh International Arbitration Centre (BIAC), seated in Dhaka, in the English language, before a sole arbitrator. The award shall be final and enforceable in competent courts.
10.4 Interim Relief Nothing prevents either party from seeking urgent injunctive relief from a competent Bangladesh court pending arbitration.
Modifications
11.1 Hedron Holdings may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Platform after the effective date constitutes acceptance.
11.2 If you do not agree to modified Terms, you must discontinue use and notify Hedron Holdings in writing.
General Provisions
12.1 Severability If any provision is unenforceable, the remaining provisions continue in full force.
12.2 Entire Agreement These Terms, together with any engagement agreement and the Hedron Holdings Privacy Policy, constitute the entire agreement regarding use of the Platform.
12.3 No Waiver Failure to enforce any provision does not constitute a waiver.
12.4 Assignment Hedron Holdings may assign these Terms without consent. Users may not assign rights or obligations without prior written consent.
12.5 Language These Terms are in the English language. In case of conflict with any translation, the English version prevails.
